Xxxxx Securities means all shares or other securities (valeurs mobilières) issued or to be issued by any of the Xxxxx Parties, or any other form of right giving access, or likely to give access, directly or indirectly, immediately or in the future, with or without exercise, notice or other formality, by conversion, exchange, repayment, presentation or exercise of a warrant or by any other means to the allocation of shares or of other securities representing or giving access to a fraction of the share capital, of the profits, of the liquidation surplus or of the voting rights of any of the Xxxxx Parties, including without limitation any preferential rights of subscription to any share capital increase in any of the Xxxxx Parties, or to any issue of any security issued or allocated as a result of a transformation, merger, spin-off, contribution or similar operation of any of the Xxxxx Parties, it being specified, for the avoidance of doubt, that debt instruments without any right giving access to the share capital of a Xxxxx Party such as ordinary bonds (obligations simples) are not "Xxxxx Securities" within the meaning of this Agreement;

Xxxxx Securities does not have interests in any of the securities of the Companies. Xxxxx Securities' compensation is not dependent in whole or in part on any agreement or understanding which gives Xxxxx Securities a financial incentive in respect to its fairness conclusions or the outcome of the proposed Transaction. Xxxxx Securities has no financial interest, outside the ordinary course of its business as an oil and gas financial services and investment company, in any future business involving the Companies. There are no understandings, agreements or commitments between Xxxxx Securities and the Companies with respect to future business dealings with them. Xxxxx Securities may, in the normal course of business, provide advisory services to the Companies or their successors in the future.
