To the Parent’s Knowledge, no Covered Person is subject to a Disqualification Event.
Parent shall promptly advise the Company in writing after becoming aware of any Legal Action commenced, or to Parent’s Knowledge threatened, against Parent or any of its directors relating to this Agreement or the transactions contemplated hereby (including the Mergers and the other transactions contemplated hereby) and shall keep the Company reasonably informed regarding any such Legal Action.
