Participating Holder definition

Participating Holder means any Holder of Registrable Securities that has returned a completed and signed Notice and Questionnaire to the Company in accordance with Section 2(b) hereof.

Participating Holder means, with respect to any Registration, any Holder of Registrable Securities covered by the applicable Registration Statement.

Participating Holder means any Holder on whose behalf Registrable Securities are registered pursuant to Articles II, III or IV hereof.

Examples of Participating Holder in a sentence

Any Holder withdrawing all of its Registrable Securities pursuant to the provisions of the preceding sentence shall following such withdrawal no longer be treated as a Participating Holder for the purposes of this Agreement.
Any Holder withdrawing pursuant to the provisions of Section 2.2(c) shall following such withdrawal no longer be treated as a Participating Holder for the purposes of this Agreement.
Such indemnity and reimbursement of expenses shall remain in full force and effect regardless of any investigation made by or on behalf of such indemnified party and shall survive the transfer of such Registrable Securities by such Participating Holder.
Any Participating Holder to such registration may, at its option, require that any or all of the representations and warranties by, and the other agreements on the part of, the Company to and for the benefit of such underwriters shall also be made to and for the benefit of such Participating Holder and that any or all of the conditions precedent to the obligations of such underwriters under such underwriting agreement be conditions precedent to the obligations of such Participating Holder.

Participating Holder has the meaning set forth in Section 6.1.

Participating Holder means a Holder who shall have properly submitted a written request for inclusion of such Holder’s Registrable Securities in a registration pursuant to Section 2.1 or 2.2 hereof.

Participating Holder shall have the meaning set forth in Section 5.02(c).

Participating Holder means any Holder of Registrable Notes that has returned a completed and signed Notice and Questionnaire to the Company in accordance with Section 2(b) hereof.

Participating Holder has the meaning given to it in Section 1.2(a).

Participating Holder has the meaning set forth in Section 2.1.4.

Participating Holder means any Holder participating in an Underwritten Shelf Takedown or Demand Registration that such Holder did not initiate.
