If such Limited Partners and the General Partner are unable to reach an agreement as to such valuation within such 30 day period (the “Negotiation Period”), then the General Partner and such Limited Partners will within 30 days following the final day of the Negotiation Period engage a nationally recognized accounting firm or other valuation firm mutually acceptable to the General Partner and such Limited Partners, and who is independent of each of the parties (the “Auditor”), to resolve such dispute.
