Any costs incurred in handling, settling, or contesting an Audit shall be borne by the Filing Party.
The Non-Filing Party shall pay an amount equal to its share of such Transfer Taxes to the Filing Party at least three (3) business days prior to the due date of such Tax Returns, and the Filing Party shall timely file such Tax Returns and pay such Transfer Taxes.
