Affiliate Lender definition

Affiliate Lender shall have the meaning assigned to such term in Section 9.21(a).

Affiliate Lender shall have the meaning assigned to such term in Section 13.05(e).

Affiliate Lender means each Lender who is an Affiliate of the Borrower, excluding (x) Holdings and its Subsidiaries and (y) any Debt Fund Affiliate Lender.

Examples of Affiliate Lender in a sentence

It shall be a condition precedent to each assignment to an Affiliate Lender that such Affiliate Lender shall have represented to the assigning Lender in the applicable Assignment and Acceptance, and notified the Administrative Agent, that it is (or will be, following the consummation of such assignment) an Affiliate Lender and that the aggregate amount of Term Loans held by it giving effect to such assignments shall not exceed the amount permitted by clause (4) of the preceding sentence.
Each Affiliate Lender hereby irrevocably appoints the Administrative Agent (such appointment being coupled with an interest) as such Affiliate Lender’s attorney-in-fact, with full authority in the place and stead of such Affiliate Lender and in the name of such Affiliate Lender, from time to time in the Administrative Agent’s discretion to take any action and to execute any instrument that the Administrative Agent may deem reasonably necessary to carry out the provisions of this clause (a).

Affiliate Lender has the meaning given such term in Section 12.04(b)(ii)(E)(1).

Affiliate Lender means each Lender who is an Affiliate of the Primary Borrower.

Affiliate Lender means any Affiliate of the Borrower that becomes an assignee pursuant to Section 10.07 (other than any Subsidiaries of the Borrower).

Affiliate Lender has the meaning given such term in Section 12.04(b)(ii)(E). For the avoidance of doubt, to the extent either Person holds any Loans, The Xxxx and Xxxx Xxxxxxxxx Family Foundation and AEG Asset Management, LLC shall be considered Affiliate Lenders for purposes of this Agreement and the other Loan Documents.

Affiliate Lender means any Lender that is a Related Person.

Affiliate Lender means, at any time, any Lender that is an Affiliate of the Parent Borrower (other than any of its Subsidiaries or any Debt Fund Affiliate Lender) at such time.

Affiliate Lender shall have the meaning set forth in Section 10.28 hereof.
