Common use of Transaction Expenses Clause in Contracts

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)) reasonably incurred by any of them in connection with the negotiation, preparation and execution of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger Arrangers the amount of all costs and expenses (including legal fees subject to any cap previously agreed between the agreed cap (if any)Company and the Agent) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution, syndication and execution perfection of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent, the Security Agent and the Arranger the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement, subject to agreed caps in respect of out of pocket expenses and legal fees; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the each Agent and the Arranger the amount reasonable professional fees and all out of all costs and pocket expenses (including legal fees subject to the agreed any cap (if any)referred to in a Fee Letter) reasonably properly incurred by any of them in connection with the negotiation, preparation preparation, printing and execution of: (a) 23.1.1 this Agreement and any other documents referred to in this Agreement; and (b) 23.1.2 any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject up to the any agreed cap (if any)caps) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution, syndication and execution perfection of: (a) this Agreement and any other documents referred to in this AgreementAgreement and the Transaction Security; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent Administrative Agent, the Arranger and the Arranger Issuing Bank the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution, syndication and execution perfection of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this AgreementSigning Date.

The Company shall promptly on demand pay the Agent and the Arranger Mandated Lead Arrangers the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger Lenders the amount of all externally incurred costs and expenses (including external legal fees subject to the agreed cap (if any)in line with obtained fee quotes) reasonably incurred by (and duly documented) any of them in connection with the negotiation, preparation preparation, printing, execution and execution perfection of: (a) this Agreement and any other documents referred to in this AgreementAgreement and the Security Documents; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand (and subject to the Fee Letter relating, inter alia, to the same) pay the Agent and the Arranger the amount of all costs and expenses and related taxes (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent Agent, the Arrangers and the Arranger Security Agent the amount of all costs and expenses (including including, but not limited to, legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution, syndication and execution perfection of: (a) this Agreement and any other documents referred to in this AgreementAgreement and the Transaction Security; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger Arrangers the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution primary syndication of: (a) this Agreement agreement and any other documents referred to in this Agreementagreement; and (b) any other Finance Documents executed after the date of this AgreementSigning Date.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)) reasonably incurred by any of them in connection with the negotiation, preparation and execution of: (a) : 121. this Agreement and any other documents referred to in this Agreement; and (b) and 122. any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger Security Agent the amount of all costs and expenses (including legal fees subject up to an amount agreed by the Company and the Original Lenders prior to the agreed cap (if any)date of this Agreement) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed at the request of an Obligor after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger Original Lenders the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing and execution of: (a) of this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent Agent, the Arranger and the Arranger Security Agent the amount of all costs and expenses (including legal fees subject up to an amount agreed by the Company and the Original Lenders prior to the agreed cap (if any)date of this Agreement) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing and execution of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed at the request of an Obligor after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject up to an amount agreed by the Company and the Original Lender prior to the agreed cap (if any)date of this Agreement) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed at the request of an Obligor after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent Agent, the Arranger and the Arranger Lenders the amount of all reasonable costs and expenses (including including, but not limited to, reasonable legal fees subject to any cap agreed before the agreed cap date of this Agreement) plus VAT or other similar taxes (if any)applicable) reasonably incurred by any of them in connection with the negotiation, preparation and printing and execution of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger the amount of all agreed costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them it in connection with the negotiation, preparation preparation, printing and execution of: (a) this Agreement and any other documents Finance Documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)and out-of-pocket expenses) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution, management and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees fees, subject to the a separately agreed cap (if any)cap) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing and execution of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger the amount of all reasonably documented costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including but not limited to legal fees, accountant fees subject to the agreed cap (if any)and notary fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement Agreement, the Finance Documents and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger Lenders the amount of all costs and expenses (including legal fees fees, subject to the agreed cap (if any)any separate agreement as to amount) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing and execution of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject to but, in any case, within the agreed cap (if any)limits set forth in the Mandate Letter) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing and execution of: (a) this Agreement and any other documents referred to in this AgreementAgreement up to the amount agreed between the Agent and the Company in the letter dated on or about the date of this Agreement (the "Costs and Expenses Letter"); and (b) any other Finance Documents executed after the date of this Agreement.

Transaction Expenses. The Company shall promptly on demand pay the Agent Agent, the Mandated Lead Arrangers and the Arranger Bookrunners the amount of all costs and expenses (including legal fees subject to the agreed cap (if any)fees) reasonably incurred by any of them in connection with the negotiation, preparation preparation, printing, execution and execution syndication of: (a) this Agreement and any other documents referred to in this Agreement; and (b) any other Finance Documents executed after the date of this Agreement.
