Suppliers and Vendors. Except in the ordinary course of business, since January 1, 1997, no material supplier or vendor of the Company or any Subsidiary has canceled or otherwise terminated, or threatened to cancel or otherwise terminate, its relationship with the Company or such Subsidiary or has decreased, limited or otherwise modified, or threatened to decrease, limit or otherwise modify, the services, supplies or materials it provides to the Company or any Subsidiary, and, to the Best Knowledge of the Company, the transactions contemplated hereby will not affect the relationship of the Company and the Subsidiaries with any such supplier or vendor.

Suppliers and Vendors. Except as set forth on Schedule 4.24, no material supplier or vendor to the Company or any of its Subsidiaries has canceled or otherwise terminated, or, to the knowledge of the Seller Group, threatened to cancel or otherwise terminate, its relationship with the Company or any of its Subsidiaries or has decreased, limited or otherwise modified, or, to the knowledge of the Seller Group, threatened to decrease, limit or otherwise modify, the services, supplies or materials it provides to the Company or any of its Subsidiaries.

Suppliers and Vendors. Except as set forth on Schedule 5.28, in the ordinary course of business, no material supplier or vendor used in connection with the Business and no Person providing maintenance services to the Business has canceled or otherwise terminated within the two years preceding the date of this Agreement or threatened within the two years preceding the date of this Agreement to cancel or otherwise terminate, its relationship with any of the Sellers or the Business or has during that period decreased, limited or otherwise modified, or, to the knowledge of the Sellers, threatened to decrease, limit or otherwise modify, the services, supplies or materials it provides to any of the Sellers.

Suppliers and Vendors. Except in the ordinary course of business, no supplier to or vendor of the Company or any of its Subsidiaries has (i) canceled or otherwise terminated, or, threatened to cancel or otherwise terminate, its relationship with the Company or any of its Subsidiaries, (ii) decreased, limited or otherwise adversely modified, or threatened to decrease, limit or otherwise adversely modify, the services, supplies or materials it provides to the Company or any of its subsidiaries, or (iii) failed to honor any warranty obligations, and the transactions proposed to be consummated pursuant to this Agreement and the other Transaction Documents shall not materially adversely affect the relationship of the Company or any of its Subsidiaries with any supplier, vendor, franchisee or licensee.

Suppliers and Vendors. No supplier or vendor of products or services to the Company has ceased shipments or providing services to the Company or indicated, an interest in decreasing or ceasing its sales or provision of services to the Company or otherwise modifying its relationship with the Company, other than in the normal and ordinary course of business consistent with past practices in a manner which would not individually or in the aggregate, result in a Material Adverse Change.

Suppliers and Vendors. (a) Schedule 5.20(a) of the Company Disclosure Schedules sets forth a list of the Company Group’s ten (10) largest suppliers and vendors as measured by the dollar amount of purchases thereby, for the twelve (12) month period ended June 30, 2023, showing the approximate total purchases by the Company Group from each such supplier, during such period. (b) To the knowledge of the Company, no supplier or vendor listed on Schedule 5.20(a) of the Company Disclosure Schedules has, within the last twenty-four (24) months from the date of this Agreement, (i) terminated its relationship with the Company Group, (ii) materially reduced its business with the Company Group or materially and adversely modified its relationship with the Company Group, (iii) notified the Company Group in writing of its intention to take any such action, or (iv) to the knowledge of the Company, become insolvent or subject to bankruptcy proceedings.
