Capitalized terms used herein that are not otherwise defined shall have the meanings ascribed thereto in the Loan Agreement. No person to whom this Power of Attorney is presented, as authority for Attorney to take any action or actions contemplated hereby, shall inquire into or seek confirmation from Grantor as to the authority of Attorney to take any action described below, or as to the existence of or fulfillment of any condition to this Power of Attorney, which is intended to grant to Attorney unconditionally the authority to take and perform the actions contemplated herein, and Grantor irrevocably waives any right to commence any suit or action, in law or equity, against any person or entity that acts in reliance upon or acknowledges the authority granted under this Power of Attorney. The power of attorney granted hereby is coupled with an interest and may not be revoked or canceled by Grantor until all Aggregate Unpaids have been indefeasibly paid in full and Attorney has provided its written consent thereto. Assignment Date. Assignment is the process by which CMS will work with the State to align beneficiaries with this Demonstration to create the Demonstration group for purposes of evaluation and making performance payment determinations, including ensuring that beneficiaries are appropriately assigned across Medicare shared savings initiatives. Assignment has no impact on the services beneficiaries are eligible to receive or on provider reimbursement. Beneficiaries are assigned to this Demonstration beginning on the date on which the beneficiary meets the Demonstration eligibility requirements. Assigned beneficiaries are those eligible for the Demonstration (as specified in Section III.B.1 and Appendix 7). With the exception of beneficiaries who are newly eligible for this Demonstration due to gaining Medicare-Medicaid enrollee status or moving into the Demonstration area, beneficiaries must be assigned to this Demonstration within nine (9) months of the Demonstration’s implementation (see Appendix 7 for additional details).

Assignment Date. The Assignment Date for this Agreement shall be the date first above written; provided, however, that if Assignee shall not have paid to Assignor the amount referred to in Section 2 hereof, prior to 5:00 p.m. prevailing Eastern time on such date, then the Assignment Date shall instead be the date on which Assignee shall have so satisfied such condition; further provided, that if Assignee does not so satisfy such condition prior to 5:00 p.m. prevailing Eastern time on the tenth (10th) Business Day following the date first written above, this Agreement shall terminate and Assignor shall have no further obligations to Assignee.

Assignment Date. The assignment of the Lease and all rights and obligations of BITX and Regen under this Agreement arising upon or after the Assignment Date shall not take effect unless and until all these conditions have been met (the “Assignment Date”): (i) Landlord has consented to this Agreement in writing in form and substance satisfactory to Landlord, BITX, and Regen, which consent may include a form of Lease assignment; (ii) both BITX and Regen have countersigned that consent to confirm they agree to its terms (the “Consent”); (iii) BITX has cured any monetary and nonmonetary defaults under the Lease and made all payments then due under the Lease; (iv) BITX has delivered, and Regen has acknowledged receipt of, the Access Mechanisms; (v) the parties have made all payments this Agreement requires to be made on or before the Assignment Date; and (vi) BITX has professionally cleaned the Premises. On the Assignment Date, the parties shall execute and exchange an assignment of the Lease in the form the Consent or Landlord requires.
