Administrative Responsibilities. Client shall be responsible for orienting Consultant to Client’s policies and procedures regarding the submission of any requisite paperwork which must be tendered for reimbursement by funding entities such as Medicare, Medicaid, or health insurance. Such paperwork may include, but is not limited to, patient care plans, comprehensive patient histories, individual education plans, or Client specific program plans. During the contracted assignment, should Consultant fail to submit paperwork as required per Client’s policies and procedures, Client must notify ProCare in writing within three (3) business days of alleged failure. Failure to notify ProCare before assignment ends shall negate any Client claim to withhold payment due to untimely work and/or paperwork non-compliance by Consultant. Client agrees that all approved time sheets by Client’s assigned representative are not subjected to billing dispute if Client fails to notify ProCare of time sheet and work performed discrepancies.
Administrative Responsibilities. With respect to each Trust Fund, the Administrator (on behalf of the Trustee) shall hold and administer, or supervise the administration of, the REMIC Pools and MACR Pools in a manner consistent with and to the extent required by standards of prudence and in substantially the same manner as the Administrator holds and administers assets of the same or similar type held for its own account. In performing its responsibilities hereunder, the Administrator may employ independent contractors or agents. Except as provided in Articles VI, VII and VIII and Sections 9.05 and 9.06 of this Agreement, the Administrator shall not be subject to the control of Holders in any manner whatsoever in the discharge of its responsibilities pursuant to this Agreement. Except with regard to its indemnities under Sections 2.05 and 9.01, the Administrator shall have no liability to any Holder other than for any direct damage resulting from the Administrator’s failure to exercise that degree of ordinary care which it exercises in the conduct and management of its own affairs. In no event shall the Administrator have any liability of any nature for consequential damages. Nothing in this Section shall relieve Xxxxxxx Mac, in its capacity as Guarantor, of its guarantee obligation pursuant to Section 4.06.
Administrative Responsibilities. Administrative responsibilities include: • University planning; • committee participation; • student assessments; • student intake interviews and portfolio reviews; and • other responsibilities which may be assigned by the Vice President Academic or the relevant Xxxx. Faculty Members shall be responsible for developing course outlines consistent with University policy and for distributing course outlines to students at the commencement of classes as described in Article 13.03.5.
Administrative Responsibilities. 16.04.01 Consistent with their primary teaching and scholarly responsibilities, faculty members shall participate in the governance of the University through active membership on appropriate bodies such as Department and Faculty Councils, and shall participate to a reasonable extent in other University bodies, including Faculty and University committees and Senate.
16.04.01.01 Within the first two years of his/her initial probationary appointment, a member is not expected to undertake demanding service commitments such as membership on Senate, Faculty, or LUFA committees.
16.04.02 Members are responsible for providing evidence of their active participation in relation to all administrative activities in the context of this article.
16.04.03 The Board and the Association agree to work together to promote a collegial environment such that while exercising administrative responsibilities, faculty members shall a) treat academic colleagues, other employees and students ethically, so that objectivity, fairness, and absence of discrimination are maintained in all deliberations, including assessment of performance of any colleague, other employee or student and b) not infringe on their colleagues' academic freedom, and shall observe the principles of confidentiality in a manner consistent with the performance of their collegial responsibilities.
Administrative Responsibilities. A. To comply with all CALIFORNIACARE administrative policies and procedures in the areas listed in Exhibit C (incorporated by reference herein) and as set forth in the Operations Manual (incorporated by reference herein) and to comply with all applicable state and federal laws and regulations relating to the delivery of Covered Medical Services.
B. To provide a CALIFORNIACARE Coordinator who will create a liaison with BLUE CROSS and assist Members in accordance with the procedures set forth in the Operations Manual, and who will be available to Members during all regular office hours of PARTICIPATING MEDICAL GROUP for the purpose of assisting Members to resolve any problems which may arise or be perceived by the Member.
C. To notify BLUE CROSS within Fifteen (15) days concerning:
(1) Any material change in the bylaws, membership, ownership or officers of PARTICIPATING MEDICAL GROUP which might affect BLUE CROSS or this Agreement.
(2) Any legal or governmental action initiated against a PARTICIPATING MEDICAL GROUP Physician or against PARTICIPATING MEDICAL GROUP which might affect BLUE CROSS or this Agreement including, but not limited to, any change in PARTICIPATING MEDICAL GROUP Physician(s) licensure, insurance, certification, malpractice, disciplinary experience or physical or mental health status.
(3) Any other situation that may interfere with PARTICIPATING MEDICAL GROUP’s or PARTICIPATING MEDICAL GROUP Physician’s duties and obligations under this Agreement.
D. To obtain BLUE CROSS’ prior written approval for any literature related to CALIFORNIACARE and intended for Members.
E. To continually meet all criteria for PARTICIPATING MEDICAL GROUPs, set forth in the Operations Manual, and to continually meet all criteria for Satellite Facilities (if applicable) set forth in the Operations Manual.
F. To provide BLUE CROSS, on a monthly basis, all ambulatory encounter data either directly or through PARTICIPATING MEDICAL GROUP’s billing agent in the file format as shown in the Operations Manual.
G. To comply with BLUE CROSS programs related to the management of pharmaceutical expenses.
H. That all financial terms of this Agreement shall be and remain confidential and shall not be disclosed to any third party, except as required by law or as required to supply information required by any financial institution.

Administrative Responsibilities. In addition to its other responsibilities hereunder, the Manager shall be responsible for providing the administrative and operating support the Company requires in connection with its business and affairs, including, without limitation, (i) the filing of such documents, instruments, certificates and other writings as are necessary or appropriate for the continuation of the Company as a limited liability company under the laws of the State of Delaware (and for the qualification of the Company to do business in states other than Delaware where the Manager determines such qualification to be necessary), (ii) preparing and filing any and all tax returns and other governmental filings in connection with the Company’s affairs, (iii) maintaining the books and records of the Company in accordance with the Act, (iv) maintaining the documentation and records relating to the Portfolio, including the administration and tracking of all warrant and other antidilution rights, stock splits and other terms related to new rounds of financing by the Portfolio Companies, (v) investigating, reviewing and effecting transactions involving the Portfolio, (vi) leveraging its industry knowledge and relationships to identify attractive follow-on investment opportunities, and (vii) satisfying the Company’s needs for office space, supplies and general office support and services.
Administrative Responsibilities. UBH may delegate certain administrative responsibilities under this Agreement to another entity, including, but not limited to, its Affiliate or to Payor or its designee. In addition, certain Payor responsibilities may actually be performed by its designee.
Administrative Responsibilities. NovaCare shall be responsible for and shall perform the following functions with respect to Worksite Employees in consideration of the payment of Administrative Fees:
(i) Completion, reporting and maintenance of payroll and Plan records, with the exception of records of hours worked, which shall be collected, verified and maintained by Subscriber, provided that Subscriber shall make available to NovaCare copies of such records of hours worked as NovaCare may require for the purpose of maintaining the Plans;
(ii) Analysis, transfer and integration of payroll and benefits for (a) Worksite Employees newly employed as a result of Subscriber's acquisitions of businesses employing those individuals, and(b) Worksite Employees whose employment is terminated;
(iii) Operation of an employee service center providing Worksite Employees with access for the purpose of making changes and resolving questions relating to Plans and paychecks;
(iv) Provision of reports within fifteen (15) days after the last day of each calendar month showing its performance compared to the performance standards established in Section 2.1.3.2 c (i) - (v), in form reasonably satisfactory to Subscriber.
(v) Provision of standardized reports, on a mutually determined basis, as reasonably requested by Subscriber, including, without limitation, reports regarding payroll, turnover, employee rosters; and provision of specialized forms, in form and content reasonably requested by Subscriber, subject to the capacity of the mutually 10 determined systems to produce requested formats, prepared and delivered in a reasonably prompt timeframe;
(vi) Record Maintenance - maintain accurate and complete personnel files for active and terminated employees to the extent such information is provided by Subscriber, including all information required by state and federal law and by the policies and procedures of Subscriber, including, but not limited to, information relating to performance appraisals, I-9 forms, records of disciplinary action, staff certification and licensure; ensure compliance with applicable records retention requirements; respond to Subscriber's requests for copies of such records in a reasonably prompt timeframe and/or as reasonably requested by Subscriber;
